Why would both BayStar and RBC want to transfer all of their preferred stock into common stock?

Common stockholders get a vote. If BayStar gets enough SCO common stock, it will actually be really bad for the open source community. BayStar wants SCO to pursue its IP agenda with impunity, but SCO is inept at doing this. So, BayStar will just take it over. They seem pretty savvy about this sort of thing. I think we should all be a little concerned about this one.
