Is your bios reporting the correct amount of memory?

You might need to rebuild the kernel because the stock ubuntu one only supports 3GB.
Debian has a -bigmem kernel for this very purpose but I'm not sure about ubuntu.

Really?! Ubuntu has a 3GB recognition limit? I had no idea. Can anyone confirm this? Several of my machines have 8-16 GB RAM, but those machines all run Fedora, and there are no issues with recognition of all the RAM.

All discussions I've seen on this issue point to it being a matter of 32-bit vs. 64-bit issue regardless of the OS. From what I read, 32-bit OS (whether Windows or Linux) will not show 4GB RAM.
Google search will reveal all forum posts, mailing lists, etc.
